( 1)	Each restricted stock unit ("RSU") represents a contingent right to receive one share of Zimmer Holdings, Inc. common stock.
( 2)	On March 16, 2011, the reporting person was granted performance-based RSUs, with the number of RSUs earned to be determined based on the extent to which certain performance conditions were met for 2011. As determined on February 21, 2012, based on the Company's actual performance for 2011, the reporting person earned 18,254 RSUs.
( 3)	One-third of the earned RSUs will vest on each of the second, third, and fourth anniversaries of the grant date.
