Explanation of Responses:
( 1)  Sales were made pursuant to a 10b5-1 trading plan adopted by the reporting person.
( 2)  Represents performance shares granted pursuant to The Wet Seal, Inc. 2005 Stock Incentive Plan on October 8, 2009 (the "Grant Date"). The performance shares vest as follows: 166,667 shares will vest on October 8, 2010, if at any time following the Grant Date through the first anniversary therof (the "Tranch 3 Vesting Period"), the weighted average closing price of the Company's common stock for any trailing 20 days (the "20-Day Average") equals or exceeds $10.67 per share (the "Tranch 3 Base Price"); and the remaining 166,667 shares will vest on October 8, 2010, if at any time during the Tranche 3 Vesting Period, the 20-Day Average equals or exceeds 120% of the Tranche 3 Base Price.
