Explanation of Responses:
( 1)  Represents the restricted stock units (RSUs) received by the reporting person pursuant to the issuer's Stock Option Exchange Program. The RSUs shall vest in two equal annual installments beginning September 1, 2011.
( 2)  Each RSU represents a contingent right to receive one share of the issuer's common stock.
( 3)  The cancelled option provided for monthly vesting beginning March 5, 2004.
( 4)  Pursuant to the issuer's Stock Option Exchange Program, on August 31, 2010, the issuer cancelled 126,875 outstanding options granted to the reporting person on February 5, 2004. In exchange for these options, the reporting person received 37,874 RSUs.
( 5)  The cancelled option provided for monthly vesting beginning February 3, 2006.
( 6)  Pursuant to the issuer's Stock Option Exchange Program, on August 31, 2010, the issuer cancelled 16,563 outstanding options granted to the reporting person on January 3, 2006. In exchange for the 16,563 options the reporting person received 4,945 RSUs.
