TERMINATION OF REGISTRATION
The Princeton Review, Inc. (the Company) previously registered up to 2,000,000 shares of the Company (the Securities) on a Registration Statement on Form S-3 (Registration No. 333-158296) (the Registration Statement) filed with the Securities and Exchange Commission on March 30, 2009. The Registration Statement was declared effective on May 7, 2009.
The Registration Statement was filed in connection with the potential resale of 2,000,000 shares of the Companys common stock, par value $0.01 par value per share, previously issued to Mr. John S. Katzman. Pursuant to a Registration Agreement by and between the Company and Mr. Katzman, the Company is obligated to keep the Registration Statement effective for a period of sixty (60) days.
The Companys obligation to register the Securities under the Registration Agreement expired on July 6, 2009. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any securities of the Company which remain unsold at the termination of the offering, the Company hereby removes from registration all securities registered under the Registration Statement which remained unsold as of July 6, 2009.
