State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The quarterly report on Form 10-Q of The Princeton Review, Inc. (the “Company”) for the period ended September 30, 2006 could not be filed with the Securities and Exchange Commission on a timely basis without unreasonable effort or expense for the following reason.
As previously reported in a Form 8-K filed by the Company on October 27, 2006, on October 24, 2006, the Company determined that a restatement of its previously issued financial statements for all periods subsequent to the first quarter of 2004 was necessary in light of the Company’s review of its accounting for embedded derivatives under Statement of Financial Accounting Standards No. 133, Accounting for Derivative Instruments and Hedging Activities , as amended, related to the Company’s Series B-1 Convertible Redeemable Preferred Stock (“Preferred Stock”). The Company needs additional time to restate its financial statements to correct its accounting for the Preferred Stock and to complete the comment and response process with the Securities and Exchange Commission related thereto.

    The Company expects that there will be a significant change in results of operations from the corresponding period for the last fiscal year, as will be reflected by the financial statements to be included in the Form 10-Q. However, no reasonable estimate of such changes can be made at this time, as the Company is still in the process of evaluating the impact that the change in accounting treatment for the Preferred Stock will have on its financial statements, as discussed above.
