Item 5.02 Departure of Directors or Certain Officers; Election of Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

By letter dated December 4, 2011, Jeffry E. Sterba, Chairman of the Board of Directors (the “Board”) of PNM Resources, Inc. (the “Company”), notified the Company of his intention to retire and resign as the Chairman and a member of the Board effective December 31, 2011. On December 6, 2011, the Board elected current Board member Patricia K. Collawn as the new Chairman of the Board, effective January 1, 2012, with the new title of Chairman, President and Chief Executive Officer.
