(b) Effective September 27, 2011 and following over 26 years of service as a Director, William P. Madar retired from the Nordson Corporation Board of Directors in compliance with the company’s retirement age policy for directors.
Mr. Madar served in the class of directors whose terms are scheduled to expire at the 2012 Annual Meeting of Shareholders. The Board of Directors has decided not to fill immediately the vacancy resulting from Mr. Madar’s retirement, reducing the number of directors to 9.
