Explanation of Responses:
( 1)	Transfer for estate planning purposes of all of Reporting Person's and his wife's interests in family limited partnership to trusts of which the Reporting Person's adult children are trustees and beneficiaries. The Reporting Person received a promissory note in favor of Reporting Person in an amount equal to the appraised value of the family limited partnership interests.
