(1) Consists of 561,993 shares of the Issuer’s common stock owned by Mr. Eitan individually, 22,500 shares beneficially owned pursuant to stock options excercisable within 60 days of December 31, 2011, 83,250 shares of the Issuer’s common stock owned by Selway Capital, LLC, Mr. Eitan is the Manager of Selway Capital, LLC and 5,000 shares owned by Mr. Eitan’s minor child.
(2) 3.70% based on 18,177,644 shares of the Issuer’s common stock outstanding (on average) for the three-month period ending September 30, 2011, as reported in the Issuer’s Form 10-Q filed November 14, 2011 and including all 672,743 shares that could be deemed to be beneficially owned by Mr. Eitan.
